Terms of Service

1. Introduction

FleetCortex is a cloud-based taxi dispatch and fleet management software platform operated by Velonodes (Pvt) Ltd.

These Terms of Service govern access to and use of our software, websites, APIs, communication systems, mobile applications, operational dashboards, and associated services.

By accessing or using FleetCortex, you agree to comply with these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

• Company or Operator refers to a taxi operator or transport business using FleetCortex.
• Driver means a registered driver using FleetCortex driver applications or systems.
• Passenger means an individual requesting or receiving transport services.
• Booking means a journey request processed through FleetCortex.
• User means any individual accessing or using the Service.
• Content includes information, records, text, files, communications, and operational data processed through the platform.

3. Eligibility

To use FleetCortex, you must:

• Be at least 18 years of age
• Have authority to enter into legally binding agreements
• Provide accurate and current registration information
• Maintain valid licences and permissions required by law
• Comply with local transport and licensing regulations

Operators remain solely responsible for ensuring their drivers, vehicles, and business operations comply with applicable legal and regulatory requirements.

4. Account Registration & Security

Users are responsible for maintaining the confidentiality and security of their account credentials.

• Accounts must not be shared with unauthorised persons
• Passwords should remain confidential and secure
• Unauthorised access or suspicious activity must be reported immediately
• FleetCortex may suspend accounts posing security or operational risks

5. Services Provided

FleetCortex provides software and operational services including:

• Dispatch and booking management systems
• Driver mobile applications
• Passenger booking portals
• Live vehicle monitoring and tracking
• Operational reporting and analytics
• Communication and telephony integrations
• API and integration services
• Booking widgets and website integrations

We may modify, improve, suspend, or discontinue platform features where operationally necessary.

6. Free Trial Period

FleetCortex may offer promotional or trial access periods for eligible operators.

• Trial access may include full or limited platform functionality
• Trial periods may be withdrawn or modified at any time
• Access may be suspended for misuse or breach of these Terms
• After trial expiry, continued access may require subscription activation

7. Fees & Payments

Certain FleetCortex services require payment of subscription, usage, setup, or integration fees.

• Fees are payable in accordance with agreed billing terms
• Late or failed payments may result in service suspension
• Applicable taxes remain the responsibility of the customer
• Unless otherwise agreed, fees are non-refundable

Pricing structures may be updated periodically with reasonable notice.

8. Data Processing & GDPR Compliance

FleetCortex processes personal data in accordance with applicable data protection laws including UK GDPR.

• Operators using FleetCortex generally act as independent Data Controllers.
• FleetCortex generally acts as a Data Processor when processing passenger or operational data on behalf of operators.
• Customers remain responsible for providing lawful privacy notices and obtaining required permissions where applicable.
• Appropriate technical and organisational safeguards are implemented to protect personal data.

9. Acceptable Use Policy

Users must not misuse FleetCortex systems or services.

• Violate applicable laws or regulations
• Attempt unauthorised access to systems or accounts
• Distribute malware or malicious software
• Interfere with platform performance or availability
• Use automated scraping or extraction tools without permission
• Engage in abusive, unlawful, or discriminatory conduct

Violations may result in immediate suspension or termination.

10. Driver Obligations

Drivers using FleetCortex systems are responsible for:

• Maintaining valid licences and insurance
• Complying with transport regulations
• Maintaining professional conduct with passengers
• Using authorised accounts only
• Reporting incidents or operational issues promptly

11. Intellectual Property

FleetCortex software, branding, systems, APIs, documentation, and related materials remain the intellectual property of Velonodes (Pvt) Ltd.

Customers are granted a limited, non-transferable licence to use the Service during active subscription periods.

Reverse engineering, copying, reselling, or unauthorised reproduction of FleetCortex systems is prohibited.

12. Third-Party Services

FleetCortex may integrate with external services, infrastructure providers, mapping services, payment gateways, telephony systems, and communication providers.

Availability and performance of third-party services are outside our direct control.

13. Suspension & Termination

FleetCortex may suspend or terminate access where:

• These Terms are breached
• Payments remain overdue
• Security or operational risks arise
• Use of the Service becomes unlawful or harmful

Upon termination, access rights cease immediately.

14. Limitation of Liability

To the maximum extent permitted by law, FleetCortex services are provided on an "as available" basis without guarantees of uninterrupted availability.

• We do not guarantee uninterrupted operation
• We are not liable for indirect or consequential losses
• Operational decisions made by operators or drivers remain their responsibility
• Liability may be limited to amounts paid for the Service where permitted by law

Nothing in these Terms excludes liability which cannot legally be excluded.

15. Indemnification

Users agree to indemnify and hold harmless Velonodes (Pvt) Ltd and FleetCortex against claims, liabilities, damages, or losses arising from misuse of the Service, legal violations, or breaches of these Terms.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Parties agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.

Courts located in England and Wales shall have jurisdiction where applicable.

17. Changes to These Terms

FleetCortex may update these Terms periodically to reflect operational, technical, legal, or regulatory changes.

Continued use of the Service after changes take effect constitutes acceptance of updated Terms.
